Terms of Service

These Terms govern your use of DocClarity ("the Service"), operated by [REPLACE: Your legal entity or full name] ("we", "us"). By using the Service, you agree to them. If you do not agree, do not use the Service.

1. No legal, financial or professional advice

DocClarity is a reading aid. It is NOT a lawyer, accountant, tax advisor, or financial advisor, and it does not provide legal, financial, tax, or any other regulated professional advice.

Summaries, red flags, deadlines, action plans and chat answers are produced by a large language model. They may be incomplete, outdated, or simply wrong, especially regarding fast-moving legal and regulatory matters. You must independently verify anything that affects your rights, obligations, money, or safety, and consult a qualified professional (lawyer, notary, accountant, financial advisor) before signing any contract, lease, loan, insurance policy, or other binding document.

You are solely responsible for any decision you take based on the Service. To the maximum extent permitted by law, we accept no liability for losses, damages, missed deadlines, or adverse outcomes arising from reliance on the Service's output.

2. Acceptance & eligibility

By creating an account or using the Service as a guest you confirm you are at least 16 years old (or the age of digital consent in your country) and have authority to bind any organization on whose behalf you act.

3. The Service

DocClarity lets you upload a document (contract, lease, financial document, terms, etc.) and receive an AI-generated plain-language analysis, red flags, deadlines, an action plan and a chat interface. The Service is provided on an "as is" and "as available" basis, with no warranty that it will be uninterrupted, error-free, or fit for any particular purpose.

4. Acceptable use

You agree not to:

  • upload documents you do not have the right to process;
  • upload illegal content, malware, or material that infringes third-party rights;
  • use the Service for unlawful purposes, fraud, harassment, or spam;
  • attempt to reverse engineer, scrape, probe, or interfere with the Service's security or rate limits;
  • use outputs to generate disinformation, deepfakes, or content that violates applicable law.

You are responsible for the prompts you submit, the documents you upload, the outputs you act on, and verifying you hold the rights to any input content. We may remove content, refuse outputs, and suspend or terminate accounts that violate these rules.

5. AI outputs & accuracy

Outputs are generated by third-party AI models routed through the Lovable AI Gateway. They can be inaccurate, hallucinated, or biased. Outputs are not suitable for regulated professional advice without independent human review. We do not guarantee the accuracy, completeness, or timeliness of any output.

We have contractually instructed our AI provider not to use your documents or prompts to train public models. See the Privacy Notice for details on data handling and sub-processors.

6. Payments, subscriptions & refunds

Pro plans are sold and processed by Paddle.com as Merchant of Record. The following text is required by Paddle:

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment terms, billing cycles, taxes, currency, and cancellation mechanics are governed by Paddle's Buyer Terms. Subscriptions auto-renew until you cancel them from Manage subscription in your account. Cancelling stops future renewals; access continues until the end of the paid period.

Refunds: we offer a 30-day money-back guarantee on the first payment of any Pro plan. To request a refund, visit paddle.net or email legal@docclarity.app.

7. Intellectual property

The Service, its software, branding and documentation are owned by [REPLACE: Your legal entity or full name] and protected by IP law. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

You retain ownership of the documents you upload and the outputs generated about them. You grant us a limited license to host and process your content solely to provide the Service.

8. Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is capped at the amount you paid us in the 12 months before the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages (lost profits, lost data, lost opportunities, loss of goodwill).

Nothing in these Terms limits liability that cannot be excluded by law, such as fraud or death/personal injury caused by our negligence.

9. Suspension & termination

We may suspend or terminate your access for material breach, non-payment, suspected fraud or abuse, or to comply with law. You may stop using the Service at any time and delete your account from the in-app account page. On deletion, your saved analyses, chat history, profile and subscription record are removed from our servers (see Privacy).

10. Governing law

These Terms are governed by the laws applicable at [REPLACE: Registered address, city, country], without regard to conflict-of-law rules. Disputes will be brought before the competent courts of that jurisdiction, unless mandatory consumer-protection law gives you the right to sue in your country of residence.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the app or by email. Continued use of the Service after changes take effect constitutes acceptance.
